Section 1. Purpose
POE&ME, a simplified joint-stock company (société par actions simplifiée) with a share capital of €12,000, registered with the Paris Trade and Companies Register under number 944 437 466, with its registered office at 61 rue de Lyon, 75012 Paris ("POE&ME"), operates a platform for reading, writing and sharing poetry (the "Service").
The Service is available on the platform (the "Platform") accessible via the "Loëly" application (the "Application"), available for download on online application stores, and on the website accessible at loely.io (the "Website").
These general terms of use (the "Terms") govern access to, registration for, browsing of, and more generally the use of the Service by its users (the "Users").
Section 2. Acceptance and Update of the Terms
Any use of the Service constitutes acceptance of the Terms, which the User acknowledges having read, understood and accepted in full knowledge of the facts. If the User does not agree to these Terms, they must refrain from accessing or using the Service or benefiting from the services arising therefrom in any manner whatsoever.
The Terms set out the entirety of the parties' obligations and apply to the exclusion of all other conditions. They are accessible on the Service under the "Terms of Use" section and shall, where applicable, prevail over any other version or contrary document.
POE&ME reserves the right to modify the Terms at any time and without prior notice, due to changes in the Service or its features, or due to changes in applicable law. In such cases, the updated Terms may be submitted to Users for renewed acceptance. The most recent version of the Terms is permanently available on the Service. If a User refuses to accept the updated Terms, they will no longer be able to use the Service.
Section 3. Access to the Service
Any User must be at least 16 years of age to access the Service.
To access the Service, the User must first create an account by providing mandatory information (such as a valid email address and date of birth) (the "User Account").
Upon creating their User Account, the User must select a primary language and may select secondary languages. The primary language will be the language in which the Platform is displayed. The primary language and secondary languages will be those in which User Poems and Third-Party Poems are made available. The User may also choose to modify the username automatically assigned to them and to add a profile picture.
Upon creation of the User Account, a user page (the "User Page") will be created. It will include information about the User, which the User may choose to display publicly or not, such as their username, profile picture, the number of people they follow and who follow them, their subscription type, and their Reading List.
Each User Account is personal and may not be used by any person other than the User concerned. It may not be transferred, shared or assigned to a third party. The User undertakes to keep their login credentials confidential and not to disclose them. The User is solely responsible for any access to their User Account using their credentials, unless fraudulent use by a third party is proven.
Section 4. Subscription
Subscription Term
Access to the Service is offered under different subscription tiers (a "Subscription"), either free of charge or paid, the monthly or annual price of which is determined according to the scope of features made available to Users. These details are set out on the Platform prior to the User subscribing.
Upon opening a User Account, the User will be invited to choose the type of Subscription they wish to take out: "Essentiel", "Complet" or "Intégral".
The term of each Subscription is chosen by the User on a monthly or annual basis, commencing on the date the User Account is created.
Unless the Subscription is cancelled by the User before its expiry, it will be automatically renewed for a term identical to the one originally subscribed to. For example, a Subscription will be renewed for a further one-month period if the current Subscription was monthly, or for a further one-year period if it was annual.
A Subscription may not be cancelled before its expiry, except where the User wishes to upgrade to a higher-tier Subscription, in which case the current Subscription shall terminate on the date the new Subscription comes into effect. In such case, an amount corresponding to the pro-rata portion of the remaining term of the current Subscription shall be deducted from the price of the new Subscription.
The User expressly acknowledges and agrees that the provision of the Service commences immediately upon validation of their registration through subscription, i.e. before the expiry of the statutory 14-day withdrawal period, and accordingly acknowledges and agrees that they do not benefit from the right of withdrawal applicable to distance and off-premises contracts.
Pricing Terms
The financial terms of each Subscription are expressed in euros (EUR), inclusive of all applicable taxes.
The applicable monthly and annual rates are those indicated on the Platform on the date the Subscription is taken out.
Subscription prices are subject to change by POE&ME. In such event, the User will be informed accordingly, and the new prices will apply to any contractual period following their entry into force, unless the User has previously cancelled their Subscription in accordance with the conditions set out in these Terms.
Payment Terms
Depending on the Subscription term chosen by the User, the price is payable on a monthly or annual basis.
Payment processing is handled by a third-party provider.
If the User subscribed to the Service via the Application, billing will be managed by the relevant application store publisher (for example, Apple if the Application was downloaded from the App Store).
If the User subscribed to the Service via the Website, payment will be made using the payment methods available on the Website (payment via Stripe).
Following the User's first payment, Subscription payments will be processed automatically via the payment method used for the first payment.
Cancellation of Subscription
The User may cancel their Subscription directly from their User Account or by closing their User Account.
Cancellation will take effect at the end of the current Subscription period, provided that the cancellation request was submitted at least 48 hours before the end of that period.
Any payment failure may result in the immediate cancellation of the Subscription by the relevant application store publisher, if the Subscription was taken out via the Application, or by POE&ME, if the Subscription was taken out via the Website, with no additional time granted to remedy the failure.
Section 5. Features Available to Users
Users will have access to the following features within the Service:
- Writing and sharing poems ("User Poems");
- Categorising User Poems within one or more thematic categories;
- Following other Users;
- Suggesting other Users on their User Page in order to promote them and bring them to the attention of other Users;
- Reading third-party poems ("Third-Party Poems"), with the option to save them to a reading list (the "Reading List"), to print them for strictly personal use, and to share them with other Users via the Platform or by email, SMS or WhatsApp;
- Reading User Poems, with the option to save them to a Reading List, to print them for strictly personal use, and to share them with other Users via the Platform or by email, SMS or WhatsApp, only if the relevant User has authorised such sharing;
- Commenting on Third-Party Poems, as well as User Poems, subject to the following cumulative conditions: the User who authored the User Poem must have enabled comments, and both Users must be mutually following each other. Any comment may only be posted after a 24-hour period has elapsed from clicking the dedicated button, unless the authoring User grants permission to comment before the expiry of that period.
Section 6. Intellectual Property and Assignment of Rights
All elements of the Platform — including sections, texts, layout, source code, trademarks and logos associated with the Service — are the exclusive property of POE&ME, which remains the sole holder of all intellectual property rights in such content.
The User undertakes not to make any use of such content other than as permitted under these Terms. Any total or partial reproduction of all or any part of such content, on any medium whatsoever, is strictly prohibited and may constitute an act of infringement.
By accepting these Terms, the User assigns to POE&ME, on a non-exclusive basis and without financial consideration — which the User expressly accepts — on a worldwide basis and for the entire duration of copyright protection:
- The right to reproduce and make available their User Poems on the Application and the Website:
- By making them available on the Platform for consultation by any User;
- Where selected by the relevant User: by permitting other Users to save their User Poems to a Reading List, to print them for strictly personal use, and/or to share them with other Users via the Platform or by email, SMS or WhatsApp.
- The right to reproduce their User Poems on any printed or digital medium for the purpose of display at public or private events related to poetry (exhibitions, displays, public readings) organised by POE&ME in connection with the promotion of the Platform.
POE&ME may, for the purposes of operating the Service, use or incorporate software provided by third parties who hold rights in such software and have granted authorisation for its use. POE&ME shall not be liable for any damage caused by the use of such third-party software.
Section 7. User Obligations
Compliance with Laws and Regulations
The User undertakes to strictly comply with all applicable laws and regulations in France and in the territory in which they use the Service, including in their interactions with other Users.
The User warrants that any User Poems they publish are original and do not infringe any third-party rights.
More generally, the User is solely responsible for all content published on the Platform from their User Account and for its compliance with all applicable laws and regulations (including User Poems and any comments).
The User is solely responsible for any legal or financial consequences arising from any infringement of third-party rights, including intellectual property rights, rights of personality, privacy rights, personal data protection rights, or any breach of press law (defamation, insult, etc.).
Accuracy of Information and Use of the User Account
By using the Service, the User declares that:
- They hold a single User Account;
- The information provided at registration is accurate;
- They are aware of, accept and comply with the Terms.
In particular, the User undertakes not to create a false identity or to create a User profile on behalf of any person other than themselves.
Respect for the Integrity of the Service
The User shall not use any software, devices, scripts, robots or other tools intended to carry out web scraping or to copy data accessible on the Service.
The User shall not reproduce, with a view to publishing, any content, information or device of any kind that contains a computer virus or any other code that could compromise the integrity or security of the Service or its Users.
The User shall not use bots or other automated means to access the Service and/or to post or send messages or content to Service Users.
Fair Use of the Service
The User shall not copy, disclose or exploit in any manner the information or content obtained through their use of the Service without the authorisation of POE&ME or of any User who has published such content on the Service.
The User shall not use the Service to send, in any form whatsoever, unsolicited advertising or promotional content.
The User undertakes to use the Service fairly and shall not make any use of it that would be contrary to the purposes pursued by POE&ME as set out in these Terms.
The User undertakes not to disrupt the functioning of the Service in any way, and not to use the Service for any purposes other than those provided for in the Terms.
Should the User wish to create a hyperlink to the Platform, they undertake to obtain POE&ME's prior written consent by submitting a request by email. POE&ME reserves the right to accept or refuse such a request without being required to give reasons for its decision.
Section 8. Content Removal and Suspension or Closure of User Account
Any breach of the Terms and/or of any applicable law or regulation, including the commitments made by the User under the Terms, may result in the removal of their content, restriction of access to all or part of the Platform, and where applicable, the suspension or closure of their User Account.
POE&ME may also be required to remove content and/or information published on the Platform and/or to suspend or close a User Account in compliance with a court order.
Where applicable, the User will be notified of the removal of their content and/or the suspension or closure of their User Account by email.
Each User has the ability to "report abuse" if they notice that the publication of content or, more generally, the behaviour of another User breaches applicable legal or regulatory rules or the Terms, by sending an email to POE&ME.
If the abuse is confirmed, the disputed content may be removed and the relevant User's access to all or part of the Service may be restricted or blocked. The User who submitted the report will be notified by email of the decision taken regarding the disputed content.
The User is informed that the closure of their User Account results in the permanent deletion of all data, settings and information stored therein, without any financial or other compensation being claimable by the User, which the User acknowledges and accepts.
Section 9. Limitation of Liability
The User is informed that POE&ME reserves the right to refuse the publication of any User Poem, for any reason. However, it is specified that POE&ME acts in a purely technical and neutral capacity as operator of a platform enabling Users to publish and share content, without exercising any prior control over such content. Content published on the Platform (including User Poems and comments) is published solely under the responsibility of the Users who have uploaded it. POE&ME shall therefore not be held liable for such content, including in the event of infringement of third-party rights or breach of applicable laws and regulations.
Furthermore, as Users may select one or more thematic categories when publishing a User Poem, it is specified that the User is solely responsible for the choice of categories associated with their User Poems and undertakes to apply appropriate categorisation, particularly where content may be sensitive for certain Users (e.g. erotic or mature content). POE&ME exercises no prior control over such categorisation and shall not be held liable for any inaccurate or inappropriate classification, nor for any consequences that may result for other Users.
More generally, POE&ME's liability may only be engaged where, having been duly notified of the existence of manifestly unlawful content under the conditions provided for by law, it has failed to act promptly to remove such content or to disable access to it.
POE&ME uses all means at its disposal to ensure the reliability of information and the timely updating of the Service. However, errors or omissions may occur. The User should verify the accuracy of information with POE&ME and report any modification they consider necessary. POE&ME shall in no event be liable for the use made of such information or for any direct or indirect damage arising therefrom.
The downloading of content is carried out at the User's own risk and under their sole responsibility. Accordingly, POE&ME shall not be liable for any damage to the User's equipment (including computers, mobile phones or tablets) or for any loss of data resulting from the downloading of content.
Hyperlinks to other resources available on the internet may be published on the Platform. POE&ME does not warrant the availability of such external sites and sources and assumes no responsibility therefor. POE&ME has no means of monitoring them and shall not be held liable for any damage of any nature whatsoever arising from the content of such external sites or sources, including information, products or services they offer, or from any use made of such elements. The risks associated with such use are borne solely by the User, who must comply with the terms of use of those third-party resources.
More generally, it is the User's responsibility to take all necessary precautions to ensure that whatever they choose to consult, use or download is free from errors and/or harmful elements such as viruses.
POE&ME will use its best efforts to ensure access to the Service 24 hours a day, 7 days a week, but shall in no event be held liable for interruptions, unavailability of the Service, or failures of the internet network. The User is further informed that POE&ME may interrupt direct or indirect access to the Service, including for technical or editorial reasons (such as maintenance, updates, etc.), where applicable without prior notice.
POE&ME's liability may not be engaged in the following cases: in the event of indirect damage suffered by a User; in the event of errors or unintentional omissions or errors arising from information, data or content provided by third parties; in the event of temporary or permanent unavailability of third-party data for any reason whatsoever; in the event of removal of Service features for any reason whatsoever; and more generally, in the event of a User's non-compliance with these Terms.
If the User uses the Application, any claim and/or refund request must be addressed to the relevant application store publisher, which is responsible for managing the billing of the Service provided via the Application. POE&ME shall not be liable for the processing or outcome of such a request.
Section 10. Personal Data
The creation of a User Account involves the communication of certain personal data about the User to POE&ME and, where applicable, to other Users.
Certain personal data is also collected automatically by POE&ME. The User is informed that POE&ME uses strictly necessary cookies for the proper functioning of the Platform, as well as audience measurement and performance cookies.
POE&ME undertakes to process all collected data in strict compliance with applicable data protection regulations, and in particular the General Data Protection Regulation 2016/679 and the French Act No. 78-17 of 6 January 1978 on data processing, data files and individual liberties (Loi Informatique et Libertés).
The User is invited to consult the Privacy Policy established by POE&ME. The Privacy Policy forms an integral part of these Terms and includes all relevant information regarding the processing carried out by POE&ME, including the legal bases on which it is founded and the purposes it pursues, as well as the rights available to the User and how they may be exercised by contacting POE&ME directly.
Section 11. General Provisions
If one or more provisions of these Terms are held to be invalid or declared as such pursuant to a law, regulation or final decision of a competent court, the remaining provisions shall retain their full force and effect.
The failure of either party to invoke a breach by the other party of any of the obligations set out in these Terms shall not be construed as a waiver of the right to require compliance with the obligation in question in the future.
POE&ME shall not be held liable to the User for any malfunction of the Service attributable to a force majeure event or to the User's own conduct. Force majeure events shall be those customarily recognised as such by the case law of the French Court of Cassation and/or within the meaning of Article 1218 of the French Civil Code.
These Terms are governed by French law. In the event of a dispute, the User must first notify POE&ME by email at contact@loely.io, setting out the nature of the difficulty encountered or the origin of the dispute, in order to seek an amicable resolution. Failing an amicable resolution, any dispute relating to the validity, interpretation or performance of these Terms shall fall within the jurisdiction of the courts of the Paris Court of Appeal.
